I. Seller

PFR Poznań Nieruchomości sp. z o.o., organized and existing under the laws of Poland, with its registered office at al. Jana Pawła II nr 43A, lok. 37B, 01-001 Warsaw, entered into the Register of Entrepreneurs of the National Court Register maintained by the District Court for the Capital City of Warsaw, XII Commercial Division of the National Court Register, under KRS No. 0000824559, NIP (Tax Identification Number) 5252813716, REGON (National Business Registry) 385400793 with a share capital of PLN 5.000,00 (paid in full), hereinafter referred to as “PFR PN”.

The sole shareholder of PFR PN is close-end investment fund, which operates under the name of PFR Fundusz Inwestycyjny FIZAN, entered into the register of investment funds under no. RFI 1168 ("Fund"), part of the investment portfolio of which is managed by Polski Fundusz Rozwoju S.A. ("PFR");

II. Legal and additional information

  1. PFR PN is a private law entity. The sale process is not subject to the Act of 11 September 2019 Public Procurement Law , the Act of August 21, 1997 on Real Estate Management  and the Regulation of the Council of Ministers of September 14, 2004 on the manner and procedure for conducting tenders and negotiations for the sale of real estate. 
  2. The sale of property depends on the obtaining by PFR PN of the relevant corporate approvals.
  3. The buyer bears all costs related to the purchase of the property, including the costs of notary. 
  4. PFR PN may cancel tender at any stage without giving reasons.

  6. The viewing of the property, after reading the prepared documentation of the legal status ("Information Package"), can be made upon prior agreement with JLL.

III. Description of the subject of the tender

PFR PN has the right of perpetual usufruct of real estate located in Poznań at Królowej Jadwigi 51 Street, Wilda district, Greater Poland Voivodeship, land plot number 49, with an area of 1.5348 ha, together with the ownership right to the service building and structures erected on it and constituting a separate real estate, for which the District Court Poznań-Stare Miasto in Poznań, VI Land Registry Department, keeps the Land and Mortgage Register number PO2P / 00100836/1 („Property”).

The Property has the shape of a regular rectangle, the northern side adjoins Królowej Jadwigi Street, while the southern side adjoins Olimpijska Street. The Property is developed with a commercial building constituting a cinema (Multikino cinema network), which is located in the northern part of the plot, with the front elevation facing Królowej Jadwigi Street. In the undeveloped, southern part of the Property, there is a paid car park, covered with a concrete block surface. The plot area is equipped with lighting and technical infrastructure (water, sewage, gas, energy, rainwater drainage, telecommunication, heating).

The Property is located on the area where the Local Development Plan "W rejonie ulicy Dolna Wilda" is in force, adopted by Resolution No. XLI / 697 / VII / 2017 of the Poznań City Council of January 24, 2017 ("Local Plan"). The Local Plan is valid from February 23, 2017. The Property is located in the area marked on the Local Plan drawing with the MW / U symbol, for which the Local Plan allows for multi-family housing or service development in the functional downtown area. In terms of detailed parameters and indicators regarding the development of buildings and land development, the Local Plan determines, among others: (i) the location of residential or service or residential and service buildings, (ii) development intensity from 0.1 to 2.0, (iii) buildings’ height up to 6 above-ground storeys, not more than 30.0 m, (iv) building area up to 30% of the building plot area, (v) biologically active area of the building plot not less than 50%.

The Property is encumbered by a lease agreement concluded on September 16, 1996, which entered into force on June 1, 1997 and was concluded for a fixed period of 30 years, i.e. until May 31, 2027 ("Lease Agreement"). The Lease Agreement is based on the quarterly rent indexed by inflation. Pursuant to the Lease Agreement, the Lessee has a right of first refusal, the execution of which will take place under the terms of the Civil Code. The Property is not mortgaged.

 

The asking price of the Property is PLN 37,000,000 net (in words: thirty-seven million Polish zlotys), and the purchase offer must be submitted in accordance with the requirements set out below.

 

IV. Requirements for purchase offer for the Property (“Purchase Offer”)

  1. The Purchase Offer should be prepared on the template constituting Annex 1 to this announcement and it must contain: 
  • company and registered office,
  • Bidder's contact details,
  • date of preparation of the Purchase Offer,
  • expiration date of the Purchase Offer (at least 6 months),
  • subject of the Purchase Offer,
  • offered price (net value in Polish currency),
  • purchase conditions,
  • financing source,
  • transaction schedule,
  • corporate approvals,
  • necessary statements presented in Annex 1,
  • signature (electronic signature possible) of the Bidder or the person authorized to make declarations of will regarding property rights and obligations on behalf of the Bidder.

    2. The offer must be attached by an excerpt from the relevant register or the Bidder's records and other documents confirming the authorization of the person or persons signing the offer.

V. Method of submitting the Purchase Offer and the final date for submitting the Purchase Offer

The Purchase Offer should be submitted electronically (via e-mail) to the following address:
[email protected]  by October 14, 2022, by 12:00 pm. The Purchase Offer in PDF format with a scan of handwritten signature or with an electronic signature must contain all the information indicated in point IV subpoint 1 above and it must include the attachments indicated in point IV subpoint 2 above. In the case of sending a PDF scan with a handwritten signature, the hard copies of the documents must be delivered to the JLL office at Plac Europejski 1, 00-844 Warsaw, no later than by October 18, 2022.

VI. The process of selecting the best Bidder and signing the sale agreement

  1. From among the bids submitted, PFR PN will select the Bidder who will propose the most attractive Purchase Offer in terms of price and purchase conditions.
  2. In the event that several Bidders present Purchase Offers equally attractive from the point of view of PFR PN, an additional bidding round will be organized for those Bidders, (i.e. an additional deadline for submitting revised Purchase Offers).
  3. The conditional or final agreement for the sale of the Property will be signed in the form of a notarial deed at a notary's office in Warsaw indicated by PFR PN.
